Terms & Conditions

These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Car Doctor Inc. (“Car Doctor”, “Company”, “we”, “our”, or “us”), governing your access to and use of the Car Doctor mobile software applications, website portals, and marketplace facilitation services (collectively, the “Service”).

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT PROVISIONS REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS, INCLUDING MANDATORY BINDING INDIVIDUAL ARBITRATION AND A CLASS ACTION WAIVER.

1. Description of Marketplace Platform & Technology Intermediary Status

TECHNOLOGY INTERMEDIARY DISCLAIMER: YOU ACKNOWLEDGE AND AGREE THAT CAR DOCTOR INC. IS A TECHNOLOGY SOFTWARE COMPANY AND IS NOT A LICENSED MOTOR VEHICLE REPAIR SHOP, GARAGE, AUTOMOTIVE SERVICE FACILITY, TOWING OPERATOR, OR EMPLOYER OF MECHANICS. SERVICE PROVIDERS ARE INDEPENDENT CONTRACTORS AND NOT EMPLOYEES, AGENTS, JOINT VENTURERS, OR PARTNERS OF CAR DOCTOR. CAR DOCTOR DOES NOT PERFORM VEHICLE REPAIRS, CONTROL THE WORKMANSHIP OF MECHANICS, PROVIDE PARTS, OR GUARANTEE THE COMPLETION OR QUALITY OF ANY REPAIR SERVICE.

2. Eligibility, Account Registration & Security

  • Age & Capacity: You must be at least eighteen (18) years of age and possess the legal capacity to execute binding commercial contracts under applicable law.
  • Account Integrity: You agree to maintain accurate, current, and complete registration information. You are solely responsible for safeguarding your login credentials and for all activities that occur under your authenticated account.
  • Unauthorized Access: You agree to notify Car Doctor immediately upon discovering any unauthorized use or security breach of your account.

3. Customer Representations & Safe Location Warranties

As a Customer requesting automotive services through Car Doctor, you represent and warrant that:

  • You are the registered owner of the vehicle or possess express legal authorization from the vehicle owner to order diagnostics and repairs.
  • The designated service location provides safe, lawful, well-lit, and level ground with adequate clearance for the Provider to perform mobile repair work in compliance with municipal codes and property regulations.
  • You have disclosed all known structural defects, hazardous modifications, hazardous material leaks, or safety risks associated with the vehicle prior to service initiation.
  • You will remain available or provide authorized vehicle key access at the scheduled appointment time.

4. Service Provider Professional Standards & Onboarding

Service Providers using the marketplace represent and warrant that they possess all requisite municipal licenses, ASE/trade certifications, commercial liability insurance policies, and professional tooling necessary to complete accepted jobs safely and in accordance with automotive industry standards.

5. Bookings, Quotes, Scope Modifications & Extra Charges

  • Quick Fix Instant Bookings: Standard fixed-scope service items (e.g., battery replacement, brake pad installation, oil change) are booked at the listed fixed rate upon Provider confirmation.
  • Custom Quote Requests: Complex or diagnostic service requests allow Customers to receive, review, and compare itemized price proposals and estimated arrival times from independent Providers. A binding contract for services is formed when the Customer accepts a specific quote and authorizes payment.
  • Diagnostic Scope Variations (Supplemental Charges): If on-site vehicle inspection reveals hidden damage, additional component failures, or required parts not included in the initial quote, the Provider MUST submit an itemized digital supplemental change request through the app. Extra charges become payable ONLY after the Customer reviews and electronically approves the revised scope.

6. Payment Processing, Platform Fees & Billing

  • Payment Gateway: Payment processing services are provided by Stripe, Inc. By storing a payment method, you agree to Stripe’s Connected Account Agreement and Consumer Terms of Service.
  • Pre-Authorizations & Holds: Upon booking confirmation, Car Doctor may place a temporary authorization hold on your payment method for the estimated service amount plus applicable taxes and platform fees.
  • Capture Upon Completion: Final funds are captured when the Provider marks the job complete and supplies required pre- and post-repair photographic proof.
  • Provider Payouts & Tips: Providers receive net earnings via direct bank deposit after deduction of the marketplace facilitation fee. Voluntary gratuities/tips are disbursed 100% to the designated Provider.
  • No Direct Off-Platform Cash Payments: All payments, diagnostic fees, parts reimbursements, and supplemental charges MUST be transacted exclusively through the Car Doctor application. Circumventing platform payments is a material breach resulting in immediate account termination and loss of dispute protections.

7. Cancellations, Rescheduling & Refund Dispute Flow

  • Customer Grace Period: Cancellations initiated within the in-app grace window prior to Provider dispatch incur zero fee.
  • Dispatch Cancellation Fee: If a Customer cancels after the Provider has already traveled toward the location or arrived on site, a nominal dispatch/trip fee may be charged to compensate the Provider for fuel and travel time.
  • Quality Dispute Flow: In the event of an unfulfilled service or contested repair, Customers may initiate a dispute within forty-eight (48) hours of job completion through the in-app support center. Car Doctor will review job telemetry, status timestamps, before/after photos, and chat logs to mediate a fair resolution or refund.

8. Intellectual Property & User Content License

Car Doctor trademarks, UI designs, graphics, branding, software algorithms, and visual assets are the exclusive proprietary property of the Company. Users retain copyright ownership over uploaded photos, diagnostic descriptions, and review content, but grant Car Doctor a perpetual, worldwide, royalty-free license to host, display, and analyze such content to fulfill marketplace services, train diagnostic quality models, and maintain dispute audit trails.

9. Prohibited Conduct & Platform Integrity

Users agree not to engage in any of the following prohibited actions:

  • Circumventing, soliciting, or transacting offline to evade marketplace service fees.
  • Submitting fraudulent identity documents, invalid insurance certificates, or fictitious repair reviews.
  • Harassing, abusing, threatening, or discriminating against any driver, mechanic, or support representative.
  • Decompiling, reverse engineering, scraping, or deploying automated bots against the Service.

10. Disclaimer of Warranties & Limitation of Liability

“AS-IS” DISCLAIMER: THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE PERFORMANCE, OR NON-INFRINGEMENT.

LIMITATION OF DAMAGES: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CAR DOCTOR, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, LOSS OF VEHICLE USE, TOWING COSTS, PERSONAL INJURY, OR PROPERTY DAMAGE) ARISING OUT OF OR IN CONNECTION WITH THE PERFORMANCE OR FAILURE OF REPAIRS CONDUCTED BY INDEPENDENT SERVICE PROVIDERS.

AGGREGATE LIABILITY CAP: IN NO EVENT SHALL CAR DOCTOR’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS EXCEED THE TOTAL FEES PAID BY YOU TO CAR DOCTOR IN THE PRECEDING SIX (6) MONTHS OR FIVE HUNDRED US DOLLARS ($500.00 USD), WHICHEVER IS LESS.

11. Mutual Indemnification

You agree to defend, indemnify, and hold harmless Car Doctor and its affiliates, directors, officers, employees, and agents from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of your breach of these Terms, your negligent operation of a motor vehicle, or unsafe conditions at your designated service location.

12. Mandatory Binding Arbitration & Class Action Waiver

INDIVIDUAL ARBITRATION AGREEMENT: You and Car Doctor Inc. mutually agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or the relationship between the parties shall be settled by binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, rather than in a court of general jurisdiction.

CLASS ACTION WAIVER: YOU AND CAR DOCTOR AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

13. Governing Law & Severability

These Terms shall be interpreted and governed in accordance with the substantive laws of Delaware, United States, without giving effect to any principles of conflicts of law. If any provision of these Terms is deemed unlawful, void, or unenforceable, that provision shall be severed and shall not affect the validity and enforceability of the remaining provisions.
